Terms of Service
PLEASE READ THIS AGREEMENT CAREFULLY. By accessing or using any services provided by NSB Marketing Inc., doing business as SpringBolt Group (“Company,” “we,” “our,” or “us”), including services offered through SpringBolt Send, SpringBolt Data, and SpringBolt Studio (collectively, the “Services”), you (“Client,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you may not use the Services.
1. Definitions
“Services” refers to the suite of marketing technology, automation, and related tools provided by SpringBolt Group, including but not limited to SpringBolt Send, SpringBolt Data, and SpringBolt Studio.
“Customer Data” means data, content, and other material submitted, stored, or transmitted by you through the Services.
“SpringBolt Data” includes data generated by the SpringBolt platform, including insights, benchmarks, anonymized usage statistics, Web ID data, enrichment records, intent data, and signal monitoring outputs.
“AI Features” refers to SpringBolt’s AI or machine learning-enabled functionality.
“Acceptable Use Policy” means SpringBolt’s usage rules and content standards as described in Section 7 of these Terms.
“Beta Services” refers to pre-release or experimental features or services.
“Master Service Agreement” means the separate agreement, if applicable, executed between you and SpringBolt Group governing the specific services, fees, and terms of your engagement.
“Deliverables” means custom work products such as website designs, creative assets, and copy produced for you through the Services.
2. Description of Services
SpringBolt Group provides a suite of marketing technology and services including but not limited to:
- Email marketing, cold email outreach, and campaign execution (SpringBolt Send)
- Data enrichment, website visitor identification, keyword intent research, signal monitoring, and total addressable market research (SpringBolt Data)
- Website design, asset design, and creative services (SpringBolt Studio)
- Website behavioral data collection and cross-platform data analysis
- Onsite abandonment remarketing
- AI-driven content and automation tools
- Lead generation and sales development representative services
- Website health monitoring
Services are offered via tiered pricing. Some features may require additional terms or a Master Service Agreement. Integration with third-party platforms is supported. The specific services provided to each Client are governed by the Master Service Agreement and Product & Service Schedule executed between the parties, where applicable.
3. Account Registration & Eligibility
To use certain Services, you may need to provide account information or execute an agreement. You agree to provide accurate, complete, and current information and to maintain the security of your account credentials. You must be at least 18 years old and have the legal authority to enter into a binding agreement. You are responsible for all activities that occur under your account.
For free-tier accounts, registration requires a valid eCommerce URL and matching business email. SpringBolt may reject invalid registrations at its sole discretion.
4. Payment & Billing Terms
4.1 Fees
Fees for Services are set forth in your Master Service Agreement and Product & Service Schedule, or as displayed on the applicable pricing page. All fees are quoted in U.S. dollars unless otherwise specified.
4.2 Billing
Subscription services are billed in advance on a monthly auto-renewing basis. Usage-based services are billed in arrears based on actual usage. One-time project fees are billed per the schedule in your agreement. There are no overage charges; flexible plan changes are available.
4.3 Payment Processing
Payments are processed through Stripe, our authorized third-party payment processor. By providing your payment information, you authorize us to charge your payment method for all fees due under your agreement.
4.4 Late Payments
Overdue amounts accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less. We may suspend Services for accounts more than 15 days past due. Accounts with non-payment exceeding 60 days may be subject to termination.
4.5 Cancellation & Refunds
You may cancel at any time via the designated cancellation form or as specified in your Master Service Agreement. No refunds are provided; discretionary credits may be issued at SpringBolt’s sole discretion. All Customer Data may be deleted upon cancellation.
4.6 Taxes
You are responsible for all applicable taxes, excluding taxes based on our net income.
5. Acceptable Use Policy
You agree not to use the Services to:
- Send unsolicited communications in violation of CAN-SPAM, CASL, GDPR, or any applicable anti-spam law
- Transmit malware, viruses, or any harmful code
- Engage in deceptive, fraudulent, or illegal activity
- Harass, threaten, or discriminate against any individual
- Resell, sublicense, or redistribute any data, tools, or outputs provided through the Services without prior written consent
- Send unusually high email volumes or abuse unlimited features beyond reasonable use
- Scrape, harvest, or resell data obtained through the Services
- Upload third-party or purchased contact lists
- Bypass usage limits or abuse platform systems
- Interfere with or disrupt the integrity or performance of the Services
- Violate any applicable local, state, national, or international law or regulation
We reserve the right to throttle, suspend, or terminate your access to the Services immediately if we reasonably believe you have violated this Acceptable Use Policy.
6. Customer Responsibilities
You agree to:
- Update your Privacy Policy to accurately reflect your use of SpringBolt’s Services
- Use data obtained through the Services only for your own legitimate business purposes
- Not resell, redistribute, or share customer data with third parties without written consent
- Comply with all applicable laws and regulations, including CAN-SPAM, TCPA, CCPA, and GDPR
- Not send spam or use purchased or third-party contact lists
- Comply with the Acceptable Use Policy at all times

7. Intellectual Property
7.1 Our Property
All content, technology, software, tools, platforms, processes, methodologies, trademarks, and branding associated with the Services are and remain the exclusive property of SpringBolt Group. Nothing in these Terms grants you any ownership rights in our intellectual property. You are granted a limited, non-exclusive, non-transferable license to use the Services during your active subscription period.
7.2 Client Content
You retain ownership of all content, data, and materials you provide to us. By providing content to us, you grant us a limited, non-exclusive license to use such content solely for the purpose of delivering, improving, and supporting the Services.
7.3 Deliverables
Ownership of custom Deliverables (such as website designs, creative assets, and copy) transfers to you upon full payment, as specified in your Master Service Agreement.
8. Use of Data & Privacy
8.1 Privacy Policy
Our collection and use of personal information is governed by our Privacy Policy, available at https://www.springboltgroup.com/privacy, which is incorporated into these Terms by reference.
8.2 Data Usage Rights
You grant SpringBolt Group the right to use Customer Data to:
- Provide and deliver the Services
- Improve the platform, train AI features, and develop new functionality
- Produce anonymized benchmarks and aggregated insights
SpringBolt does not disclose identifiable personal information without your permission or a valid legal basis.
8.3 Data Licensing
Data generated by our Services (including Web ID data, enrichment records, intent data, and signal monitoring outputs) is licensed to you for your internal business use only. You may not resell, redistribute, or share such data with third parties without our prior written consent.
8.4 Compliance
You are solely responsible for ensuring that your use of data obtained through the Services complies with all applicable data protection laws, including CAN-SPAM, TCPA, CCPA, GDPR, and any other relevant regulations.
9. AI and Beta Services
AI Features are provided “as is.” You are responsible for reviewing and verifying all AI-generated outputs before use. SpringBolt makes no warranties regarding the accuracy, completeness, or suitability of AI-generated content.
Beta Services are experimental and may be modified, suspended, or discontinued at any time without notice. Beta Services are provided without warranty and may not meet the same standards of performance or reliability as generally available features.
10. Service Levels & Disclaimers
10.1 Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice.
10.2 No Guarantees of Results
We do not guarantee specific results from the use of our Services, including but not limited to email open rates, response rates, lead volumes, website traffic, conversion rates, or revenue outcomes.
10.3 Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPRINGBOLT GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless SpringBolt Group and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any law or regulation; or (d) any claim that your content or data infringes the rights of a third party.
13. Term, Termination & Auto-Renewal
This Agreement begins upon your acceptance and, for subscription services, renews automatically on a monthly basis unless cancelled.
Either party may terminate the service relationship as specified in the Master Service Agreement or for material breach of these Terms. We may also suspend or terminate your access to the Services immediately if you violate these Terms.
Upon termination, your right to use the Services ceases immediately. No refunds are provided unless otherwise specified in your Master Service Agreement. All Customer Data may be deleted upon cancellation.
Sections that by their nature should survive termination—including Intellectual Property, Use of Data & Privacy, Limitation of Liability, Indemnification, and Governing Law—shall survive.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be posted on our website and communicated to active clients via email at least thirty (30) days in advance. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. If you do not agree to any changes, you must discontinue use of the Services and terminate your agreement.
15. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of South Carolina, without regard to conflict of law principles. Any disputes shall first be submitted to good-faith mediation. If unresolved, disputes shall be resolved by binding arbitration in Charleston, South Carolina in accordance with the rules of the American Arbitration Association.
16. General Provisions
16.1 Entire Agreement
These Terms, together with any applicable Master Service Agreement, Product & Service Schedule, and Privacy Policy, constitute the entire agreement between you and SpringBolt Group.
16.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent.

PLEASE READ THIS SPRINGBOLT SERVICES AGREEMENT (“AGREEMENT”) CAREFULLY. BY ACCEPTING THIS AGREEMENT OR USING THE SPRINGBOT SERVICE, YOU AGREE TO THE TERMS OF THIS AGREEMENT.
This Agreement is between NSB MARKETING, Inc. (“Springbolt”), a South Carolina corporation headquartered at 677 King Street, 3rd Floor, Charleston, SC 29403, and either the individual who agrees online to accept this Agreement or the company or other entity on whose behalf the individual is agreeing to accept this Agreement (“you” or “your”).
1. Definitions
- Services refers to the marketing automation software platform provided by Springbolt.
- Customer Data means data, content, and other material submitted, stored, or transmitted by you through the Services.
- Springbolt Data includes data generated by the Springbolt platform, including insights, benchmarks, and anonymized usage statistics.
- AI Features refers to Springbolt’s AI or machine learning-enabled functionality.
- Acceptable Use Policy means Springbolt’s usage rules and content standards.
- Beta Services refers to pre-release or experimental features or services.
2. Your Authority
If you are entering this Agreement on behalf of a company or other entity, you confirm that you have the legal authority to bind that entity to these terms.
3. Services Provided by Springbolt
Springbolt offers marketing automation for eCommerce merchants, including:
- Website behavioral data collection
- Data enhancement using public/third-party sources
- Cross-platform data analysis
- Email, social, and ad campaign execution
- Onsite abandonment remarketing
- AI-driven content and automation tools
Services are offered via tiered pricing. Some features may require additional terms. Integration with third-party platforms is supported.
4. Free Plan and Account Creation
Free accounts require a valid eCommerce URL and matching business email. Springbolt may reject invalid registrations.
5. Subscription and Billing Terms
- Monthly auto-renewing billing
- Cancel anytime via cancellation form
- Suspension after 60 days of non-payment
- No overages; flexible plan changes
- No refunds; discretionary credits only
- All data deleted upon cancellation
6. AI and Beta Services Disclaimer
AI features are provided “as is.” You must review and verify outputs. Beta Services are experimental and may change or be removed.
7. Acceptable Limits and Use Restrictions
Unlimited features must be used reasonably. You may not:
- Send unusually high email volumes
- Scrape, harvest, or resell data
- Upload third-party or purchased lists
- Bypass usage limits or abuse systems
Violations may result in throttling or termination.
8. Customer Responsibilities
- Update your Privacy Policy to reflect Springbolt usage
- Use data only for your business
- Do not resell customer data
- Comply with laws (e.g., CAN-SPAM)
- No spam or purchased lists
- Comply with the Acceptable Use Policy
9. Ownership and Rights
Springbolt retains ownership of all IP. You are granted a limited license during the subscription period.
10. Use of Data
You grant Springbolt the right to use Customer Data to:
- Provide the service
- Improve the platform and train AI
- Produce anonymized benchmarks
Springbolt does not disclose identifiable personal information without permission or legal basis.
11. Term, Termination, and Auto-Renewal
- Agreement begins upon acceptance and renews monthly
- Either party may terminate for breach
- No refunds unless specified
